Unifonic is looking for an entrepreneurial Head of Legal and Compliance,
to help us on our mission to make effective customer communications more accessible to businesses in Emerging Markets. By building and managing the legal function, you will be responsible for all legal affairs of the company. This is a versatile and hands-on role that works in close collaboration with the leadership team to anticipate issues and find proactive and practical solutions. The responsibilities of the Head of Legal and Compliance include but are not limited to:
- Provide management with effective legal advice on business issues and company strategies.
- Oversee the work of the outside counsel.
- Ensure the company operates in compliance with applicable laws and regulations, and help prepare briefs, complaints, motions, and other court documents.
- Advise the human resources department on employment law and labour and benefits issues.
- Draft and negotiate complex contracts and agreements, such as joint venture agreements, government contracts, and sales contracts, and provide litigation support.
- Manage complex equity partnerships and M&A.;
- Set internal governance policies and manage the impact of external factors.
- Anticipate issues and estimate risks strategically; identify proactive solutions that will eliminate or mitigate risks.
- Create associations of trust and respect with key internal and external stakeholders (external counsel, regulators, clients, etc).
- Attract, develop, direct, and motivate a top-notch legal team.
- Keep abreast of legislative changes; research legislation where the company intends to expand its business.
- Hands-on 8+ years of relevant experience and 3+ years in a leadership role.
- Proven ability to provide entrepreneurial, quick-thinking, pragmatic,
and business-oriented advice; as well as to properly balance risks and business rewards.
- Overall broad legal knowledge (corporate law, labour law, etc.); understanding of Saudi law, international law, telecom regulation, and data and privacy law is a plus.
- The ability to structure, draft, and negotiate a high volume and a broad range of contracts; mergers and acquisitions (M&A;), and fundraising experience is a plus.
- Experience in handling fundraising / IPO is highly advantageous.
- Passionate about technology in general and the intersection of tech, business, and law.
- Team player with a strong ability to motivate and influence a diverse set of stakeholders and world-class interpersonal and collaboration skills.
- Self-starter,
able to work independently and entrepreneurial in a dynamic environment, high degree of professional ethics and integrity.
- Bachelor's degree in Law or J.D. degree.
- Fluent in English with excellent written and verbal communication skills; Arabic is a plus.
